Reverse listing advice is one of the many services LCM could eventually offer to corporate clients. They a viable way for small private companies to become publicly traded. Reverse listing are often feasible means for private companies that wish to go public without all of the hassle involved in an Initial Public Offering ("IPO"). In a reverse listing, a public company buys a private company, and in the process of this listing, the private company becomes part of the public company, and thus becomes publicly traded.

Our offshore hedge fund, is incorporated in the Cayman Islands as an exempted Closed-Ended investment company under the Companies Law of Cayman (the "Companies Law") with a redemption provision of Participating Shares.
As such, the Company will not be dealing with Cayman persons. Holders of Participating Shares are entitled to redeem their Participating Shares at a price linked to the net asset value of the Company. Shareholders do not have a proprietary interest in the underlying assets of the Company nor are they liable for the debts of the Company. The nature of an investor's rights in the Company is as a shareholder in a limited liability company. The entitlement of a holder of Participating Shares in the Company is to participate in the assets (less liabilities) of the Company by the proportion borne by the number of Participating Shares in the Company that he/she holds to the total number of such Participating Shares in issue.
INVESTMENT OBJECTIVE
The investment objective of the Company is to seek medium-term capital appreciation through leveraged trading, directly and indirectly, of both long and short portfolios of equity and fixed income securities of issuers traded on the United States markets (including on stock exchanges and in the OTC markets) and their derivatives pursuant to the proprietary leveraged securities trading strategies of the Investment Adviser.
The current investment strategies of LCM are limited to Long/short equity, events-driven, global macro, and fixed income strategies. As such, the Company will be using derivatives products and leverage to execute its muti-strategy portfolio, and take other positions on the markets to increase its members' and investors' return on investment (ROI).
INVESTMENT APPROACH AND PHILOSOPHY
The Lion Funds are specialized in the application of statistical methodology to portfolio management. This proprietary approach, called the Statistical Approach to Trading, involves the following four fixed rules:
- Define fixed mathematical rules that indicate when to buy and sell assets and how much to buy or sell.
- Test those rules on as much historical market data as possible to determine which rules provide the best risk/reward characteristics on a daily basis over the entire historical data set. This is measured in terms of how well a portfolio using those rules would have performed on a daily basis over the entire historical data set.
- Evaluate the results to insure that the test findings meet high standards of statistical reliability and validity.
- Implement the rules in actual trading exactly as they were tested, without any human intervention, judgment or override.
The perceived strengths of this approach are based: (a) in its ability to identify rules that may work well for particular market classes; (b) in its overall portfolio focus; and (c) in the discipline and consistency that it provides. The application of this approach attempts to implement the cornerstones of LCM's investment philosophy, Diversification, Discipline and Consistency.

As a direct investment, the firm owns stake in New York Chocolate & Confections Company, Inc., a chocolate and snacks Confectionery Company based in Fulton, New York. Lion Capital Management also holds ownership in Fulton Cogeneration Association, L.P., a steam & power generating merchant plant in New York State.

The New York Chocolate & Confections Company, Inc. is engaged in the manufacture, distribution and sales of confectionery such as chocolate bars, flakes, cocoa butter, and bulk chocolate. On December 2003, the company acquires all assets of Nestle Confections and Snacks in Fulton, New York. The transaction included Nestle USA, Inc's 95 acres property that include not only the land and buildings in central New York, but also all of the Nestle confections and snacks manufacturing facility and equipments in Fulton.
The plant is scheduled to produce chocolate this year.

Fulton Cogeneration Association, L.P. is a New York limited partnership which owns and operates a 45 mw natural gas-fired, combined-cycle cogeneration power plant in the state of New York.
The power plant was built in 1992 with the issuance of Oswego County IDA Taxable Industrial Development Bonds. Lion Capital Management and its partners have purchased the plant from El Paso Power Merchant, LLC on February 27, 2004.
Fulton Cogeneration Association, L.P. is a steam and electricity supplier in the Central New York area.
MANAGEMENT
The Principal Manager has overall responsibility for the management of the Company and has delegated responsibility for the management of the Company's investments to the Investment Adviser. The Investment Adviser has an unfettered discretion and is responsible, subject to the supervision of the Principal Manager and compliance with a pre-established Investment Guidelines. The Principal Manager with the agreement of the Company delegates Day to day administration of the Company and its investments to the Administrator; including certain administrative functions such as registrar among other thing.
